.Agreement made on 12-10-24 by and between (Facility) under the laws of the State of Michigan.It is agreed as follows: .SERVICES:.Contractor will provide transport services for wheelchair bound and ambulatory patients of the facility.STANDARDS: Carrier represents and warrants that it is duly qualified and currently authorized and licensed to lawfully transport.wheel-chair bound persons.Contractor shall provide transport services in compliance with Contractor's Service Delivery Standards, as agreed to by Contractor and Facility.Contractor represents and warrants that it must perform the services herein in a manner that does not damage the reputation of Facility.MANDATED EQUIPMENT: Contractor shall provide all equipment necessary for providing safe and comfortable transport of Facility patients.Contractor represents and warrants that all employees who will have contact with Facility patients have had the following training : Pre & Post trip Vehicle Safety Inspections, Wheelchair Tie down & Seatbelt procedures.INDEMNIFICATION: Each party agrees to indemnify the other, including directors, officers, agents and employees, harmless from all claims, suits, judgements and demands arising form the indemnifying party's negligent and/or intention acts and omissions.Signed by (Owner B) and the Administrator on 12/10/24.
